Governance at St. Mary's

St. Mary’s International School is a non-profit, tax-exempt educational institution (gakkō hōjin) incorporated under Japan’s Private School Law and operates under the supervision of the Tokyo Metropolitan Government. Our governance structure, established by the Act of Endowment, is designed to ensure legal compliance, uphold ethical standards, and support the school’s long-term stability and effective management. We are governed by a Board of Directors, a Board of Trustees, and Statutory Auditors. Together, these bodies provide strategic direction and financial stewardship in support of our mission, vision, and values.

The Board of Directors is composed of six to eight members from the St. Mary’s community, including the Head of School, with each Director bringing diverse perspectives and areas of expertise. Directors serve renewable three-year terms and are tasked with ensuring the school remains aligned with its Guiding Statements. The Board of Directors is responsible for the school’s financial well-being, engaging in strategic planning, and selecting, supporting and evaluating the Head of School. The Board of Directors approves key policies guiding school operations and meets five times annually (more if necessary) to address school business, review strategic goals, and monitor performance. The Board of Directors delegates all daily academic, administrative, and extracurricular management to the Head of School. Directors also serve as ambassadors for St. Mary’s, fostering strong relationships within the school and broader community to strengthen the school’s reputation and external partnerships. 

The Board of Trustees is composed of seven to 15 members, including at least one alumnus, serving renewable three-year terms. The Board of Trustees acts as a broader advisory body, providing strategic guidance and counsel to the Board of Directors. Trustees are selected from a diverse group of community members and supporters with a deep commitment to St. Mary's mission, vision, and values. Alongside Directors, Trustees actively participate in committee work and enhance communication within the school community. They play an important role in strengthening community relationships and championing St. Mary’s reputation locally and internationally. Trustees are expected to act in the best interests of the school by leveraging their expertise, professional networks, and commitment. The Board of Trustees meets five times per year to carry out its advisory functions and support the school community.

Two to three Statutory Auditors attend Board meetings and are responsible for the auditing process of the school’s finances, administering operations, and the execution of the Board’s responsibilities. Their oversight ensures compliance with all relevant regulations and helps safeguard the integrity of governance practices in alignment with the Act of Endowment.  Statutory Auditors serve renewable three-year terms.

Much of the Board’s work is carried out through committees, which may include Directors, Trustees, and/or the Head of School, depending on the committee’s focus.
